BofA to pay $2.43 billion to settle shareholder lawsuit

NEW YORK/CHARLOTTE, North Carolina (Reuters) - Bank of America Corp agreed on Friday to pay $2.43 billion to settle a shareholder lawsuit over its 2008 buyout of Merrill Lynch in one of the largest-ever settlements of a securities fraud class action.

The accord is by far the biggest settlement of an investor class action arising from the 2008 financial crisis. Bank of America denied allegations it misled shareholders ahead of the Merrill deal, causing them huge losses, but said it agreed to settle to put the case behind it.

The bank expects to incur total litigation expenses of about $1.6 billion in the third quarter ending September 30. It said that expense and a U.K. tax charge would hit quarterly results by about 28 cents per share and likely trigger a loss for the period.

Analysts had expected Bank of America to report earnings of 14 cents per share when it releases results on October 17, according to Thomson Reuters I/B/E/S.

The settlement, which requires court approval, would resolve a case set for an October 22 trial in U.S. District Court in Manhattan. The bank still has other financial crisis-era legal problems outstanding - many involving its 2008 purchase of mortgage lender Countrywide Financial.

The settlement on Friday indicates it may cost more than expected for the bank to resolve issues lingering from the Merrill and Countrywide deals, said Gary Townsend, chief executive of Hill-Townsend Capital in Maryland.

While former Bank of America Chief Executive Kenneth Lewis' decision to buy Merrill in 2008 - at the peak of the financial crisis - helped the U.S. banking system, it has proven costly to shareholders, Townsend said.

Bank of America shares have slid more than two-thirds since the Merrill deal was announced in September 2008.

"It's good to get it behind you," Townsend said. "It's good to get a bad tooth removed. But the question is, 'How expensive was Ken's mistake back in 2008?'"

Lewis had long coveted Merrill's "Thundering Herd" of retail brokers, but in late 2008 he attempted to get out of the deal when Merrill's losses ballooned and threatened the capital of the combined company.

In the face of pressure from then-Treasury Secretary Henry Paulson, Lewis moved forward with the acquisition in January 2009, accepting a $20 billion government bailout to shore up the bank's balance sheet.

Bank of America has since repaid the money. Lewis retired at the end of 2009 and was replaced by Brian Moynihan, who remains CEO.

The Merrill deal was valued at $50 billion when it was announced, but the bank ended up paying $29.1 billion as Bank of America's shares fell.

In a research note on Friday, banking analyst David Trone of JMP Securities said the settlement was "far larger than we expected given the weak merits of such suits and historical precedence."

Prior to this accord, the largest crisis-era investor class action settlement involved allegations Wachovia, now part of Wells Fargo & Co, misled investors about the quality of loans sold before the financial downturn, according to NERA Economic Consulting.

Wells Fargo agreed last year to pay $590 million to resolve that lawsuit, on top of $37 million that auditor KPMG LLP agreed to pay, bringing the total recovery for the investors to $627 million.

Overall, the largest securities fraud settlements in U.S. history include the $7.2 billion agreement with investors stemming from the collapse of Enron; the $6.2 billion WorldCom settlement; and the $3.2 billion agreement over the accounting scandal at Tyco International, according to Stanford Law School's Securities Class Action Clearinghouse.

The Bank of America lawsuit, filed in 2009, contended the bank and its officers made false or misleading statements about the financial health of the bank and Merrill Lynch before the acquisition, causing the bank's stock price to tumble when the facts were revealed.

Under the settlement, the bank will make changes to its corporate governance through January 1, 2015. The bank had agreed to some of the changes as part of a February 2010 settlement with the U.S. Securities and Exchange Commission, including provisions on the independence of its board compensation committee and an annual shareholder vote on executive pay.

Lead plaintiffs in the lawsuit included the State Teachers Retirement System of Ohio, the Ohio Public Employees Retirement System and the Teacher Retirement System of Texas.

"Not only did we accomplish an excellent financial recovery, but other companies will look at the result here and think twice about not fully disclosing all necessary information to their shareholders," Ohio Attorney General Mike DeWine said in a statement.

The settlement was reached after discussions led by a mediator, former federal judge Layn Phillips, lawyers for the plaintiffs said.

A hearing before Judge Castel has been scheduled to discuss the agreement at 3:30 p.m. EDT (1930 GMT) Friday, according to a courtroom deputy in Castel's chambers.

Bank of America shares slipped 8 cents to $8.89 on the New York Stock Exchange.

(AP) ? Phil Orlins knows everything about producing TV in three dimensions. The ESPN producer has captured the undulating greens of Augusta National and the flying motor bikes of the X-Games for ESPN's 3-D channel. But he can only guess how well his shows resonate with viewers. That's because 3-D audiences are so small they can't be measured by Nielsen's rating system.

"The feedback on The Masters was fast and furious. You could go on Twitter at any moment, and there'd be comments coming in every minute about 3-D coverage," said Orlins while giving a tour of a production truck at this summer's X-Games. "But then you go to some other events where it's pretty quiet."

Orlins' problem is that fewer than 115,000 American homes are tuned into 3-D channels at any one time. That's less than a hundredth of the 20.2 million-strong audience that saw television's highest-rated show, "NCIS," this week. 3-D viewership is so tiny that The Nielsen Co.'s methods are unable to capture any meaningful data about viewers' programming preferences.

ESPN 3D is one of nine 3-D channels that launched in the years following the late 2009 release of James Cameron's "Avatar." The 3-D blockbuster won three Oscars and ranks as the highest-grossing film of all time, garnering $2.8 billion at the global box office.

"Avatar" was supposed to change everything. Enthusiastic television executives expected the movie to spur 3-D's transition to American living rooms, boosting sales of TVs and, they hoped, getting people to pay for 3-D channels.

That never happened.

Only 2 percent of TVs in the U.S. are able to show 3-D programming, according to the most recent data from research firm IHS Screen Digest. That's about 6.9 million sets out of 331 million. After this year's Christmas buying rush, IHS expects the number of 3-D-capable televisions in homes to jump to 19.3 million, mostly because many new larger TVs automatically include the technology. If you're in the market for a big-screen TV, you're likely to wind up with 3-D, too. Even so, 3-D TVs will amount to fewer than 6 percent of all sets.

"We've learned with every passing day that we were ahead of the curve further than we thought we were," said Bryan Burns, the business leader for ESPN 3D. "We hit the on-ramp earlier than we realized at the time."

At movie theaters, 3-D has attracted lots of viewers. But not at home. There's a supply problem: 3-D TV is expensive to produce, so there's not a lot of it. Of the content out there, some isn't very good. There's an equipment problem: Some people find the special glasses required for 3-D TV uncomfortable. And there's a money problem: Many wonder if it's worth the extra cost.

"It was kind of fascinating to me, but it's not all there," said Tim Carter, a graphic designer in Sarasota, Fla., who bought a large 3-D TV with other high-end features last year for about $1,800.

Today, the average 42-inch 3-D television costs about $900, according to IHS ? about $200 more than similar-sized, more basic models. A 3-D TV tends be more expensive because 3-D is one feature common to TVs with bigger screens. It is usually grouped with other upgrades that matter more to consumers, including motion-smoothing technology and light-emitting diodes that are more energy-efficient and display color contrast better than traditional liquid crystal display sets.

"There's very little direct consumer demand" for 3-D, said Tom Morrod, a TV technology analyst with IHS in London. "They don't see a value with it. Consumers associate value right now with screen size and very few other features."

A 3-D TV contains a high-tech chip and software that translates 3-D video feeds into the right- and left-eye images that create the 3-D effect for people wearing the right glasses. In some cases, special glasses can cost an extra $50 or so.

Watching home movies on disc requires a 3-D Blu-ray player that can cost another $120, and each set of 3-D Blu-ray discs costs about $27, according to IHS.

TV distributors now don't charge specifically for channels like ESPN 3D. But 3-D channels are only "free" if you're already paying up for a pricey package. They're bundled with add-ons like HD service and high-definition digital video recorders. For a DirecTV subscriber, for example, that means a $200 high-definition digital video recorder and $10 per month for HD service.

All that for the privilege of watching 3-D at home in your pajamas.

Because of the cost, Carter said he's mainly sampled free 3-D movie trailers provided on-demand by his cable TV company. A trailer for the latest "Transformers" movie didn't make him more enthused. "One of the robots pops out at you, and it felt forced." He said that 3-D effects aren't noticeable much of the time. While he said he's not knocking the technology, he's disappointed with the way it's being used.

Sluggish demand for 3-D on TV has caused programmers to hit pause on rolling out new shows and channels.

In June, DirecTV turned its 24-hour channel, n3D, into a part-time network that only shows special event programming like the Olympics, in part to avoid the heavy use of reruns caused by a lack of new material. Last year, AT&T dropped ESPN 3D from its lineup, saying the $10 per month cost to subscribers wasn't justified given low demand.

So far, ESPN 3D is the most aggressive network in terms of shooting original 3-D productions. It has about 140 per year. It also has the widest distribution, according to research firm SNL Kagan, no doubt because popular sports network ESPN includes it in negotiations with distributors. Though few own the hardware to watch the channel, ESPN 3D now pipes into 60 million U.S. homes.

Without extra subscriber fees, though, it could be difficult to make a big business out of 3-D production, especially because it's more expensive than 2-D. Every 3-D camera set-up requires two cameras. They have to be mounted on a special computerized rig that aligns them. And someone in a back room has to adjust a knob that determines how cross-eyed the lenses are. That can require twice the manpower for the same camera position, boosting costs when revenues aren't going up very much.

Advertising, the other pillar of the TV channel business, is also hampered because of the lack of audience data.

That has resulted in an odd arrangement. Companies that run advertisements on ESPN 3D, like movie studios, actually have their ads played a second time in 2-D on ESPN and other channels so they can meet their goal of reaching a measurable number of people, Burns said. That uses up 2-D commercial airtime that might have been sold to other customers.

3-D TV is not a complete bust. While he wouldn't say if it's profitable, Burns said ESPN 3D is still a revenue-generating business that is "doing well," because of how the network accounts for revenue from distributors and advertisers. Burns and others expect that as more TVs are sold with the capability, the more viewership will grow, just like it did for high-definition sets and programs a few years ago.

"It took five years before reporting systems caught up and we knew who actually had the service," Burns said of the launch of HD. "It's not unfamiliar territory to us. We've been down this road before."

For TV signal providers, carrying 3-D channels before they really become mainstream wins them points with their savviest technophile customers, the kind who jumped on the HD bandwagon early ?a decade ago.

In many ways, though, the comparison to HD isn't a good one.

Watching 3-D is a problem for about 6 percent of Americans with certain eye problems, according to Dr. Dominick Maino, a professor with the Illinois College of Optometry. They simply can't see in 3-D or suffer dizziness or nausea when watching.

And it won't get the same push that HD got by the hundreds of TV stations that switched to high-definition broadcasts in the last few years. Nor will it benefit from the nation's switch from analog to digital TV broadcasts in 2009.

Another awkward point: Some people just don't like 3-D. In a phone survey last November of 1,300 Americans who had seen 3-D TV, Leichtman Research Group found that 38 percent rated it poorly at 3 or below on a scale of 10. That's twice as many as rated it excellently, at 8 or higher.

"It's one of those examples where seeing isn't believing, thus far," said Bruce Leichtman, president of Leichtman Research. "That's certainly not a great place to start."

Like its cross-prefixed predecessor, the Xterra, and similarly quirky Juke, the Terra is designed to take the rougher road while cosseting its occupants in a particularly trick interior featuring both a dashboard that's actually a removable tablet. The idea is you can take it inside and keep tabs on your car, but we wonder what happens when you leave it sitting by the bed as you groggily stagger out to your vehicle in the morning.

Impractical concept car interior design decisions aside, the machine is powered by a trio of electric motors (yes, three) driving all four wheels and receiving their power from Nissan's latest hydrogen-powered fuel cell. Nissan says this unit costs just one sixth that of its predecessor, but presumably such a system has a long way to go before it can be placed in a reasonably priced machine. No word on what this might cost -- if indeed it ever goes into production. This one, we think, isn't too likely.

Publicly Funded Painting Shows Mayor as Roman Soldier | Europe ...

The mayor of a Swedish town is being criticized for using $91,000 in public funds to pay an artist to depict him in a painting dressed like a Roman soldier.

The image will be part of a larger mural placed in the Horby council building, reported The Local publication.

?I have met the artist on many different occasions and we had discussed a painting. I thought it sounded very interesting. He then sent in a proposal that was presented to the Horby industrial property board,? said mayor Lars Ahlkvist of the Moderate Party quoted the Svenska Dagbladet (SvD) newspaper The Local reported.

The painting not only depicts Ahlkvist as a Roman legionary, but also depicts a local financier as Sweden?s 17th century King, Karl XI, and his partner as a noblewoman from around the same time period.

In the painting, ?we?ve got the Arab Spring, as well as a team of snapphane from Horby,? he said, mentioning the 17th century pro-Danish guerilla fighters who battled the Swedes.

Ahlkvist said the mural would give attention to Horby, a municipality located in southern Sweden with around 7,000 residents.

?Clearly, Horby has gotten a lot of attention and that is never a bad thing,? he said.

The commissioning process was done properly, city Manager Arne Bertilsson told the publication.

?We decided to use the existing exceptions to the rules in the procurement laws, which gave us the right to contact and chose one artist only,? he said.

Shared Resort Real Estate Ownership 2012: a Market Perspective ...

The ownership of shared resort real estate has become a preferred way to vacation for millions of Americans, according to the latest national research commissioned by Interval International, a prominent worldwide provider of vacation services. Among the findings: an estimated 12 million adults now own what is commonly referred to as ?timeshare,? and among the most appealing attributes associated with shared ownership is the ability to exchange, cited by eight in ten current owners.

These findings are from the newly-released Shared Resort Real Estate Ownership 2012: A Market Perspective, which is being distributed at the 14th Annual Shared Ownership Investment Conference held September 18 ? 20, in Orlando, Florida. The survey was conducted by MMGY Global with a nationally-representative sample of 810 active leisure travelers who met specific criteria with respect to their age and annual household income.

?The observations of this report, when viewed through the lens of current shared resort real estate owners, as well as non-owners who are interested in purchasing, will enable developers to compete more effectively in the broader lodging and hospitality sector,? said Peter C. Yesawich, Ph.D., vice chairman of MMGY Global.

?The implications suggest that the preferred product offerings and services will continue to evolve with the shifting social values of today?s leisure travelers. The results also reveal that the concept of shared ownership aligns well with marketplace trends, which bodes well for continued industry growth.?

?We believe this study will be extremely useful to developers and marketers since it examines the changing travel habits, preferences, and intentions of current and prospective owners. It provides valuable insights, such as those relating to price points and product characteristics, that indicate how the industry may need to evolve,? added Bryan Ten Broek, Interval?s senior vice president of resort sales and business development for North America.

Notable Findings

  • Leisure travelers interested in purchasing shared resort real estate tend to be married (63%) and average 42 years of age. Approximately four in 10 report having children who live in their household full time.
  • Leisure travelers interested in purchasing shared resort real estate took an average of just over three (3.4) leisure trips during the past 12 months, and spent an estimated $1,730 on lodging accommodations.
  • Eight in 10 leisure travelers who are current owners (80%), and a comparable percentage of prospective purchasers (84%), prefer a beach or lake experience on vacation.
  • Nearly nine in 10 prospective purchasers are interested in staying at a condominium-style resort during the next two years.
  • Mini-vacations and weekends at shared ownership resorts are, by far, the most highly rated incentives to participate in a sales tour, with eight in 10 leisure travelers who are prospective purchasers (83%) citing their appeal.

The data for this study were collected during June and July 2012 using a nationally representative panel of U.S. consumers, prequalified and screened for specific demographic and behavioral characteristics. Respondents were adults who: took at least one trip for leisure purposes of at least 75 miles away from home that required overnight accommodations during the previous year; were between 25 and 64 years of age; and reported a minimum annual household income of $50,000.

'Dirty USSD' code embed can reset your Samsung Galaxy S III  and other TouchWiz devices

The Factory Reset. One of those last ditch efforts that many of us have a fair bit of experience with. However, a malicious embed code could potentially do the exact same thing to your Galaxy S III. The Unstructured Supplementary Service Data (USSD) code (which we won't reproduce here) apparently only works on Samsung phones running Touchwiz, and only if you are directed to the dodgy destination while inside the stock browser (rather than Chrome, for example). This means the Galaxy Nexus is unaffected, but it can work the same dark magic on the likes of the Galaxy S II.

We've been trying to murder a GS III here at Engadget, but with no luck as yet -- we can cause the malicious digits to appear in the dialer, but we can't force the stock browser to visit them as a URL, even when trying a bit of URL forwarding and QR code trickery. However, this particular GS III has been rooted in the past, even though it's now running an official TouchWiz ROM, and that may be interfering with the process.

Aside from our own experiences, the evidence for the vulnerability is certainly strong. It was demonstrated at the Ekoparty security conference last weekend, during which time presenter Ravi Borgaonkar also showed how a different code could even wipe your SIM card. Libya appoints military officers to head militias

TRIPOLI, Libya (AP) ? Libya's military command appointed Monday a pair of army officers to head two powerful Islamist militias in the country's east, part of the government's push to rein in armed factions.

The move reflects the pressure on the government to control or disband the country's militias, many of which it had relied upon for securing Libya in the turmoil following last year's ouster and killing of longtime leader Moammar Gadhafi.

Col. Ali al-Sheikhi, the spokesman for Libya's joint chiefs of staff, told the news agency LANA that the chiefs of the Rafallah Sahati Brigade and the Feb. 17 Brigade, two groups that authorities had allowed to manage security in the eastern city of Benghazi, would be replaced with army commanders.

Anger at the militias boiled over following the killing of the top American diplomat in Libya and three U.S. mission staffers in an assault on the consulate in Benghazi on Sept. 11. The attack followed an angry protest against an anti-Islam film produced in the U.S. which has riled many in the Muslim world.

Members of the radical Islamist Ansar al-Shariah militia are suspected of being behind the attack.

Many of Libya's militias were formed in the eight-month war against Gadhafi, but more groups sprang up after the end of fighting in October. With the country trying to rebuild after 42 years of Gadhafi, the groups paid little attention to successive interim leaders. They were accused of bullying citizens, operating independent prisons and holding summary trials for Gadhafi loyalists. Recently, Islamist-led militias have also attacked shrines, such as tombs associated with religious figures, that they considered to be counter to their strict view of Islam.

This Friday, thousands of protesters marched against the militias in Benghazi, the cradle of the uprising against Gadhafi, and stormed two of their compounds. Militiamen at the Sahati Brigade's compound fired at the protesters, killing nearly a dozen.

In an attempt to deflect the anger, Libya's president ordered all militias to dissolve or to come under a joint operations command to coordinate between the militia brigades and the army. The military had already asked all armed groups using captured Gadhafi-era barracks to evacuate them and hand them over. Security forces have already raided a number of sites in the capital Tripoli used by militias.

The moves surprised some critics who doubted that the government was strong enough to deal with the militias, particularly the powerful Islamist ones.

But many Libyans still feel the government has not done enough.

In Benghazi, around 200 people rallied against the militias on Monday, decrying the government decision to retain some of the armed groups even if they were under military command. The protest demanded that all militias be disbanded and its members integrated in the security agencies as individuals.

The protesters also demanded an independent investigation into the killing of protesters on Saturday, saying that the government bears responsibility for the actions of a militia upon which it had relied for security.

"The blood of the martyrs will not be shed in vain," the protesters chanted. They called for the chief of staff, defense and interior ministers to be sacked.

Are Syrian shells raining biological agents down on Lebanese?

Lebanese living along the Syrian border are reporting rashes and other ailments. They suspect Syrian biological weapons are to blame, although weapons experts say that is unlikely.

Residents in Nourat al-Tahta and other villages under routine Syrian shellfire are complaining of unexplained symptoms may indicate artillery shells have been filled with a biological agent, but weapons experts discount the panicky assumptions.

Nazir Shrayteh, a doctor from the nearby village of Dousi, says he has received an unusually large number of patients from villages under shellfire in recent months complaining of rashes and diarrhea.

?Since May we have been getting these skin problems,? he says. ?I don?t know what it is, but I feel something odd is going on.?

Still, biological weapons experts say that the chances are remote that biological agents in Syrian artillery shells are the cause of the ailments. Although T-2 mycotoxins, a chemical produced by certain fungi and used as a biological weapon, are said to cause both symptoms, they are extremely toxic and potentially fatal, says Kelsey Gregg, a former biosecurity specialist with the Federation of American Scientists.

?Even at low doses, there would likely be different symptoms from an?aerosol,?including?eye and respiratory problems,? she says.

Furthermore, the ad hoc pattern of Syrian shellfire does not suggest a determined attempt to deliver biological agents. Ms. Gregg suspects the blame lies with poor sanitary conditions due to the stressful, overcrowded and abnormal circumstances in which the local residents and Syrian refugees are living.

The Nourat al-Tahta residents' case bears some similarity to a recent incident in Afghanistan, when a group of schoolgirls showing symptoms of poisoning raised fears that the Taliban was poisoning the drinking water supplies at several schools. The World Health Organization dismissed the symptoms as more likely a form of mass hysteria ? something that has happened many times in history, the Monitor reported.

New SARS-like virus detected in Middle East

LONDON (AP) ? Global health officials are closely following a new respiratory virus related to SARS that is believed to have killed at least one person in Saudi Arabia and left another person in critical condition in Britain.

The germ is a coronavirus, from a family of viruses that cause the common cold as well as SARS, the severe acute respiratory syndrome that killed some 800 people, mostly in Asia, in a 2003 epidemic.

In the latest case, British officials alerted the World Health Organization on Saturday of the new virus in a man who transferred from Qatar to be treated in London. He had recently traveled to Saudi Arabia and is now being treated in an intensive care unit after suffering kidney failure.

Health officials don't know yet whether the virus could spread as rapidly as SARS did or if it might kill as many people.

"It's still (in the) very early days," said Gregory Hartl, a WHO spokesman. "At the moment, we have two sporadic cases and there are still a lot of holes to be filled in."

Hartl said it was unclear how the virus spreads. Coronaviruses are typically spread in the air but Hartl said scientists were considering the possibility that the patients were infected directly by animals. He said there was no evidence yet of any human-to-human transmission.

"All possible avenues of infection are being explored right now," he said.

So far there is no connection between the cases except for a history of travel in Saudi Arabia. SARS was first spread to humans from civet cats in China.

Hartl said no other countries have so far reported any similar cases to WHO.

Other experts said it was unclear how dangerous the virus is.

"We don't know if this is going to turn into another SARS or if it will disappear into nothing," said Michael Osterholm, a flu expert at the University of Minnesota. He said it was crucial to determine the ratio of severe to mild cases.

SARS hit more than 30 countries worldwide after spreading from Hong Kong. Osterholm said it was worrying that at least one person with the disease had died. "You don't die from the common cold," he said. "This gives us reason to think it might be more like SARS," which killed about 10 percent of the people it infected.

Britain's Health Protection Agency and WHO said in statements that the 49-year-old Qatari national became ill on Sept. 3, having previously traveled to Saudi Arabia. He was transferred from Qatar to Britain on Sept. 11 and is being treated in an intensive care unit at a London hospital for problems including kidney failure. Respiratory viruses aren't usually known to cause serious kidney problems.

The Health Protection Agency said it was unaware of any ties the patient had to Britain and that he likely was in a private clinic in the Middle East before being transferred to the London hospital. It said none of the health workers involved in his treatment had fallen ill.

WHO said virus samples from the patient are almost identical to those of a 60-year-old Saudi national who died earlier this year. The agency isn't currently recommending travel restrictions and said the source of infection remains unknown.

Saudi officials said they were concerned the upcoming Hajj pilgrimage next month, which brings millions of people to Saudi Arabia from all over the world, could provide more opportunities for the virus to spread. They advised pilgrims to keep their hands clean and wear masks in crowded places.

The Hajj has previously sparked outbreaks of diseases including the flu, meningitis and polio.
